What's the difference between vendor DD and buyer DD?

Vendor DD (also called sell-side or pre-sale DD) is commissioned by the seller to identify and remediate issues before going to market, and to support the sale process with clean documentation. Buyer DD is commissioned by the potential acquirer to independently verify the target and identify negotiation levers. Both use similar methodologies but different audiences.
