Types of due diligence
Standard DD workstreams: Financial DD (historical financials, quality of earnings, working capital analysis, debt-like items), Tax DD (compliance status, exposure quantification, tax structuring), Legal DD (corporate structure, contracts, litigation, IP, regulatory), Commercial DD (market dynamics, customer analysis, competitive position, growth drivers), Operational DD (people, systems, capacity, key dependencies), and IT DD (systems assessment, cyber risk, technology roadmap).
Not every deal needs every workstream — scope depends on deal size, sector, and specific concerns.

What's the difference between vendor DD and buyer DD?
Vendor DD (also called sell-side or pre-sale DD) is commissioned by the seller to identify and remediate issues before going to market, and to support the sale process with clean documentation. Buyer DD is commissioned by the potential acquirer to independently verify the target and identify negotiation levers. Both use similar methodologies but different audiences.
